Referral Partner Agreement

This Referral Partner Agreement ("Agreement") is entered into as of [Effective Date] between HPH Solutions, LLC, a Colorado limited liability company ("HPH"), and [Partner Name and, if applicable, Company] ("Partner").

  1. Purpose

    HPH provides solar plan-set design, drafting, permitting, interconnection, and related engineering services. Partner has industry relationships and may, from time to time, refer prospective customers to HPH. This Agreement sets the terms for how those referrals are tracked, accepted, and compensated.

  2. What Counts as a Qualified Referral

    A "Qualified Referral" is a prospective customer that:

    • Partner introduces to HPH by direct email, phone, or HPH's referral intake form, OR who identifies Partner by name on first contact with HPH;
    • Was not already in an active sales conversation with HPH at the time of referral;
    • Engages HPH for a paid project within twelve (12) months of the referral; and
    • Pays HPH for delivered work.

    If Partner refers a prospect already known to HPH, HPH will notify Partner promptly and either credit the referral if appropriate or decline it transparently.

  3. Referral Fees

    HPH will pay Partner the following fees on each Qualified Referral that results in a paid project:

    Add-on services (permitting, interconnection, PE stamps) are bundled into the originating project for fee calculation purposes — no separate referral fee applies to add-ons.

  4. Payment Terms

    HPH will pay Referral Fees within fourteen (14) days of receiving full customer payment for the project, by Zelle or ACH (check available on request). HPH will issue an IRS Form 1099 to any Partner earning $600 or more in a calendar year. Partner agrees to provide a completed IRS Form W-9 upon HPH's request; HPH will request a W-9 when Partner's cumulative earnings approach the $600 annual reporting threshold. Partner is responsible for all taxes on Referral Fees received.

  5. Tracking and Attribution

    HPH will tag each lead in its CRM with Partner's name on first contact. In cases where multiple parties claim attribution, HPH's reasonable judgment based on documentation (email introductions, intake form submissions, customer statements) will govern. HPH will notify Partner in writing of any attribution decision affecting Partner's referral. Partner has thirty (30) days from the date of notice to dispute the decision in good faith; after that period, HPH's decision is final. All disputes will be discussed in good faith.

  6. Independent Contractor

    Partner is an independent contractor. Nothing in this Agreement creates an employment, joint venture, partnership, or agency relationship between Partner and HPH. Partner has no authority to bind HPH to any contract, commitment, or obligation. Partner represents that entering into this Agreement and accepting Referral Fees does not violate any employment agreement, fiduciary duty, non-compete, anti-kickback policy, or other obligation Partner owes to a third party.

  7. Non-Circumvention

    For twelve (12) months following the close of any project arising from a Qualified Referral, Partner agrees not to directly contract with the referred customer to deliver services that compete with HPH's offerings, whether for the originating project or for any other project at the same property or job site. Partner remains free to refer the customer to HPH for additional work — including additional projects at the same site — and earn Repeat-Customer Referral Fees.

  8. Representation and Outreach

    Partner will not represent themselves as an employee, agent, or authorized representative of HPH. Partner will not use HPH's name, logo, or marks in unsolicited outreach without HPH's prior written approval. Partner will comply with all applicable laws governing commercial communications, including the federal CAN-SPAM Act and the Telephone Consumer Protection Act (TCPA), when contacting prospective customers on Partner's own behalf or in connection with this Agreement.

  9. Confidentiality

    Each party agrees to keep confidential any non-public business or pricing information received from the other party in the course of this Agreement and not to disclose it to third parties without consent, except as required by law.

  10. Non-Exclusivity

    This Agreement is non-exclusive. Partner may refer customers to other design or service providers. HPH may receive referrals from any number of partners.

  11. Term and Termination

    This Agreement takes effect on the Effective Date and continues until terminated by either party with thirty (30) days' written notice (email is sufficient). Termination does not affect Partner's right to receive Referral Fees on Qualified Referrals submitted before the termination date that close within twelve (12) months thereafter.

  12. Governing Law

    This Agreement is governed by the laws of the State of Colorado. Any disputes will be resolved in courts located in Denver County, Colorado.

  13. Entire Agreement

    This Agreement is the entire agreement between the parties on its subject matter and supersedes any prior understandings. Modifications must be in writing and signed by both parties.
